3 Mistakes Business Owners Make Before Selling Their Business

Two years sounded like plenty of time. It was not even close. And the moment she realized that, it was almost too late to fix it. That is how many owners approach the sale of their company, thinking the runway is longer than it actually is. The truth is, preparing a business for sale takes far more effort than most expect, and the mistakes made along the way can cost tens of thousands of dollars or even kill the deal entirely.

The first mistake is waiting too long to clean up financial records. Buyers and their accountants will dig through every line item. If your books are messy, or if you have been mixing personal expenses with business ones, they will assume the worst. You need at least two full years of clean, organized statements that clearly show profit and cash flow. That takes time to fix, not a weekend.

The second error is failing to reduce owner dependence. If the business only runs because you are in the office every day, buyers will see that as a huge risk. They are not buying a job; they are buying an asset. You need to have a manager in place, documented processes, and a team that can operate without you for a few weeks. That kind of change does not happen overnight.

The third mistake is overvaluing the business based on emotion. Owners often think their sweat and years of sacrifice should translate into a premium price. But buyers pay for future earnings, not past effort. If you have not invested in growth, or if your customer base is too concentrated, your valuation will suffer. Getting a realistic, third-party valuation early on helps you adjust your strategy, rather than holding out for a number that will never come.

Selling a business is not a single event. It is a process that should start years before you actually want to walk away. If you avoid these three pitfalls, you give yourself a real chance at a smooth, profitable exit. If you ignore them, you will learn the hard way that two years was never enough.
